Often banks require an Independent Legal Advice (ILA) Certificate before completing a transaction and releasing funds. An ILA Certificate is issued to a party negotiating an agreement or entering into a transaction, evidencing the fact that the party has met and obtained legal advice from a separate lawyer. One Lawyer cannot and should not be representing all the parties to an agreement or transaction.

In other words, obtaining an ILA Certificate means that a party fully understands the nature and implications of a transaction or agreement and was not forced or coerced into entering the transaction.

A party is asked to sign ILA certificate to prevent them from later stating that they did not understand the document or the consequences of the document they were signing.

In order to prepare and issue an ILA certificate a lawyer will meet with the client to discuss specific details of the agreement or transaction, as well as the lawyer will explain the legal language to the client in order to ensure the client fully understands the obligations and liabilities contained in the document or transaction.
